These Terms of Service (“Terms”) govern the relationship between Shenzhen Today Sourcing Co., Ltd. (“we”, “us”, or “our”) and you (“you” or “Client”) when you use our website or engage us to source, develop, inspect or ship goods on your behalf. By using our services, you agree to these Terms.

1. Our role

We act as an independent sourcing and buying agent. We are not a manufacturer, a distributor or a reseller. We do not own inventory and we do not take title to the goods we source on your behalf. Our service is to find factories, develop products, manage the order, inspect the goods and arrange shipment — for a separately agreed service fee.

2. Service scope

Our services cover the full buying journey, including:

  • Sourcing — shortlisting factories by category, capacity, MOQ and cost; preparing quotations.
  • ODM / OEM development — translating your drawing, photo or reference sample into factory-ready specifications; managing samples and revisions.
  • Order follow-up — holding the production schedule, chasing progress, flagging issues early.
  • Branding and packaging — logo, label, hangtag, colour box, polybag, barcode, carton.
  • Quality inspection — material and construction checks, in-line checks, pre-shipment inspection with photo report. Sampling-based, not 100% unit-by-unit unless separately agreed.
  • Freight forwarding — coordinating with your nominated forwarder, or arranging shipment on agreed Incoterms (typically FOB Shenzhen / Guangzhou / Yantian).
  • Licensed and sustainability programmes — artwork approval, compliance and traceability support, where requested.
  • Product photography — listed separately as a paid add-on for online stores.

Specific scope, deliverables and timelines are confirmed in writing before each project starts.

3. Service fee

Our service fee is:

  • Agreed in writing before the project starts.
  • Quoted separately from the factory price, factory samples and shipping cost.
  • Payable on the milestones agreed for that project.

Goods cost, sample cost, inspection cost and shipping cost are charged at the supplier’s invoice or the actual invoice from the service provider (courier, inspection company, forwarder). We do not take a margin on goods or shipping.

4. Client responsibilities

To run a project well, we need you to:

  • Provide complete and accurate specifications, artwork and target information up front.
  • Approve samples and confirm orders in writing.
  • Pay factory invoices, sample invoices and shipping invoices on the agreed terms.
  • Apply for any import licences or product registrations required by your country.

We will not start production on your behalf until we have a written sample approval and a written order confirmation.

5. Quality control and inspection

  • We perform sampling inspection unless a higher standard is separately agreed in writing.
  • Our reports are decision-supporting. They describe what we saw in the inspected sample.
  • Sampling inspection reduces but does not eliminate the risk of defects in un-inspected units.
  • If the pre-shipment report identifies defects, we will report them with evidence and recommend rework, replacement or new production. The final decision is yours.

6. Compliance and licensed programmes

For licensed or sustainability-certified programmes, we coordinate the artwork approval, factory qualification, certificate verification and traceability documents. Compliance with brand-owner requirements and with destination-country regulations is a shared responsibility — we deliver what the programme requires; you are responsible for confirming that what you order is permitted in your market.

7. Liability

  • Our total liability for any single project is capped at the service fee we received for that project.
  • We are not liable for factory-side defects, delays, force majeure, regulatory changes in destination markets, or losses caused by inaccurate information you give us.
  • Nothing in these Terms excludes liability that cannot be excluded by law.

8. Cancellation and refund

  • Before any work has started — you can cancel with no fee.
  • After sourcing and quotation but before sample order — service fee for the work done to date applies.
  • After sample order has been placed — sample cost and the work-done fee apply.
  • After production has started — cancellation is governed by the terms of the factory order. We will work to minimise your loss but cannot guarantee a full refund.

9. Intellectual property

  • We do not use your brand, artwork or confidential product information for any purpose other than running your project.
  • On project completion or termination, we return or delete project artwork, samples of confidential material and supplier documents on request.
  • For licensed programmes, we keep brand-owner confidentiality as required by the licence.

10. Governing law and jurisdiction

These Terms are governed by the laws of the People’s Republic of China. Any dispute will be resolved through friendly negotiation first; failing that, by the courts of Shenzhen, Guangdong, China.

11. Changes to these Terms

We may update these Terms from time to time. The latest version is always posted on this page with the “last updated” date. Material changes will be communicated by email where you have an active project with us.
